Terms of Service

These terms govern the use of SignElectronically by companies and their teams, and by people who sign documents sent through it.

Agreement

These terms are an agreement between you and the administrator of the signelectronically.com service, reachable at [email protected].

By creating an account, starting a subscription or using the service you accept these terms. If you use the service for a company, you confirm that you may bind that company, and "you" means the company. The service is offered to businesses and to people acting in a professional capacity who are at least 18 years old.

The service

SignElectronically lets a team upload PDF documents, place fields, send them to one or more signers, collect electronic signatures and receive a sealed PDF with an audit certificate. Depending on the plan it also includes templates, bulk send, branding, one time codes, webhooks, an API, embedded signing, single sign on and retention rules. The current scope of each plan is shown on the pricing page.

Accounts and teams

  • You register with an email address and a password and confirm the address with a code we send to it.
  • Each account belongs to a team. The team owner manages seats, roles, billing and settings, and can invite and remove members.
  • A seat is for one named person. Seats may be reassigned but not shared.
  • You keep your credentials and API keys confidential and are responsible for activity under your account. Tell us promptly if you suspect unauthorized access.
  • The information you give us must be accurate and kept up to date.

The demo

The homepage offers a one time demo in which you can sign a PDF without an account. The result carries a watermark stating that it is a demo and not legally binding, and it must not be used as a signed document. After you confirm an account you may download the watermarked result and run one more demo document. This allowance is granted once, does not renew and is not a plan. Demo files are deleted automatically within 24 hours.

Plans and limits

Sending documents for signature requires a paid subscription. Plans, prices and what each one includes are listed on the pricing page, which forms part of these terms.

  • Each plan includes a number of seats and a number of envelopes per billing month, and may include a number of SMS codes.
  • Limits count usage during the period. An envelope counts when it is sent. Deleting or voiding an envelope does not return it to the allowance.
  • Unused allowance does not carry over to the next period.
  • When a limit is reached, you can move to a higher plan to continue sending in that period.

Billing and renewal

  • Subscriptions are billed in advance, either monthly or yearly, to the payment card you provide at checkout. Your bank may ask you to confirm the payment.
  • A subscription renews automatically at the end of each period for a period of the same length, at the price then in force, until it is cancelled.
  • When you move to a higher plan or from monthly to yearly billing, the difference for the rest of the current period is charged at once, and the new plan starts when that payment succeeds.
  • When you move to a lower plan, the change takes effect as set out at the time of the change, and no amount is paid back to the card for the current period.
  • Prices are stated without taxes. Sales tax, VAT or similar taxes are added where the law requires.
  • If a renewal payment fails we retry it and tell the team owner. If it remains unpaid, sending is paused until the payment method is updated.
  • We may change prices for future periods. Account owners are told by email at least 30 days before a new price applies to their renewal.

Cancellation

The team owner can cancel the subscription at any time in the billing section of the app. Cancellation stops the next renewal. The plan stays active until the end of the period already paid for, and then the account can no longer send envelopes.

Payments are not refunded for a period that has started, including for unused envelopes or seats, except where the law that applies to you gives a right to a refund. Download the documents you need before deleting an account.

Your documents

You keep all rights in the documents and data you upload. You give us permission to store, process, display and transmit them only as needed to provide the service to you and your signers.

You are responsible for the content of your documents, for having the right to send them, for the accuracy of the signer details you enter and for choosing a signing method that suits the document. Where your documents contain personal data, you are its controller and we process it for you as described in the Privacy Policy.

Signers

People who receive a document to sign do not need an account or a subscription. Before signing, each signer is asked to consent to using electronic records and signatures. A signer may decline. Actions on an envelope are recorded with a timestamp, IP address and browser, and the record is attached to the completed document and shared with all parties. The agreement being signed is between the sender and the signers. We are not a party to it.

Electronic signatures are recognized for most business documents, among others under the ESIGN Act and UETA in the United States and the eIDAS Regulation in the European Union. Every plan produces simple electronic signatures with an audit certificate. The Pro flow adds signer identity checks and is designed to meet the requirements for advanced electronic signatures. Qualified electronic signatures are not offered.

Some documents cannot be signed electronically or need a particular form, such as wills or documents that national law reserves for a qualified signature or a notary. We do not give legal advice. Acceptable use

You agree not to:

  • send documents that are unlawful, fraudulent or deceptive, or that infringe the rights of others
  • impersonate another person or sign on behalf of someone without their authority
  • use signing requests to send spam, phishing or unsolicited marketing
  • upload malware or try to gain access to accounts, data or systems that are not yours
  • probe, scan or load test the service without our written consent, or get around limits, seat counts or the one time demo
  • resell the service or offer it to third parties as your own product, except through embedded signing as provided in your plan
  • use the service where the law that applies to you forbids it

API and webhooks

Plans that include the API and webhooks may use them within the rate limits published in the documentation. API keys act with the rights of your team, so keep them secret and rotate them if they are exposed. Envelopes created through the API count toward your plan in the same way as those sent from the app.

Intellectual property

The service, its software, design, text and marks belong to us or our licensors. During your subscription you receive a limited, non exclusive, non transferable right to use the service for your internal business purposes. If you send us feedback, we may use it without obligation to you.

Availability

We work to keep the service available and to announce planned maintenance in advance where it is likely to interrupt signing. The service may still be unavailable from time to time because of maintenance, faults or events outside our control. We may change or retire features, and we will not remove a core function of your plan during a period you have paid for without a reasonable replacement.

Warranty disclaimer

To the extent the law allows, the service is provided as is and as available. We do not promise that it will be uninterrupted or free of errors, or that a signature made with it will be accepted for a particular purpose by a particular court, authority or counterparty.

Liability

To the extent the law allows, we are not liable for indirect or consequential loss, loss of profit, revenue, business or goodwill, or for the content and legal effect of the agreements you conclude through the service.

Our total liability for all claims arising in any 12 month period is limited to the amount you paid us for the service in that period. Nothing in these terms limits liability for intent, gross negligence, death or personal injury, or any liability that cannot be limited by law.

You will compensate us for claims by third parties that arise from the documents you send or from a breach of the acceptable use rules.

Suspension and termination

You can stop using the service and delete your account at any time. We may suspend or close an account that breaches these terms, puts the service or other users at risk, or remains unpaid. Where the breach can be fixed and the risk is not urgent, we give notice first.

When an account is closed, access ends and the data in it is deleted as described in the Privacy Policy. Sections that by their nature should continue, such as liability and governing terms, remain in force.

Governing terms

These terms are governed by the law of the country in which the operator shown above is established, without regard to conflict of law rules. The courts of that country have jurisdiction over disputes, unless mandatory law gives you the right to bring a claim elsewhere. Before going to court, write to us so we can try to resolve the matter.

If a provision of these terms is found invalid, the rest remains in effect. These terms, together with the pricing page and the Privacy Policy, are the whole agreement between us about the service. You may not transfer your rights under them without our consent. We may transfer ours as part of a reorganization or sale of the business.

Changes

We may update these terms. The date at the top shows the latest version. If a change is significant, account owners are told by email at least 30 days before it takes effect. If you do not agree with a change, you can cancel before it applies.
